1. Agreement to Terms
By accessing or using the ChironLabs.ai website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services. These Terms constitute a legally binding agreement between you and ChironLabs.ai ("we," "us," or "our").

ChironLabs.ai provides AI-powered website redesign, hosting, and SEO optimization services for small businesses. Our services include:

- Website hosting on enterprise-grade infrastructure

- Ongoing website maintenance and updates (per your subscription plan)
- Customer dashboard for managing your website and account
3. Accounts and Authentication
To access certain features, you may need to create an account or sign in using a third-party provider such as Google. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us immediately of any unauthorized access.
4. Free Demos
We may build a free demo website based on your existing site's publicly available content. Demos are provided at no cost and with no obligation. We reserve the right to remove demo sites at any time. Demo sites remain our property until you subscribe to a paid plan and the site is deployed to your domain.
5. Subscriptions and Payment
Billing
Paid plans are billed monthly through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. Prices are listed on our pricing page and may change with 30 days' notice.
Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not offer refunds for partial months.
Late Payments
If payment fails, we will attempt to charge your payment method again. After 14 days of failed payments, we may suspend your website until the balance is resolved.
6. Your Content
You retain ownership of any content you provide to us (text, images, logos, etc.). By submitting content, you grant us a non-exclusive license to use, display, and modify it solely for the purpose of providing our Services. You represent that you have the right to share any content you provide.
7. Our Intellectual Property
The website designs, code, templates, tools, and underlying technology we use to provide our Services are our intellectual property. Your subscription grants you the right to use the website we build for you, but you do not own the underlying code or design system. If you cancel, you may request an export of your content (text and images), but the website code and design remain ours.
8. Acceptable Use
You agree not to use our Services to:
- Violate any applicable law or regulation
- Infringe on the intellectual property rights of others
- Distribute malware, spam, or harmful content
- Misrepresent your identity or affiliation
- Interfere with or disrupt our Services or infrastructure
- Scrape, reverse-engineer, or copy our platform or tools
We reserve the right to suspend or terminate accounts that violate these terms.
9. Uptime and Availability
We strive to maintain high availability for all hosted websites but do not guarantee 100% uptime. We are not liable for downtime caused by hosting providers, network outages, DNS propagation, or force majeure events. Scheduled maintenance will be communicated in advance when possible.
10. Limitation of Liability
To the maximum extent permitted by law, ChironLabs.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities, arising from your use of our Services. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
11. Disclaimer of Warranties
Our Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific SEO rankings, traffic increases, or business outcomes.
12. Indemnification
You agree to indemnify and hold harmless ChironLabs.ai and its officers, employees, and agents from any claims, damages, or expenses arising from your use of our Services, your content, or your violation of these Terms.
13. Termination
We may suspend or terminate your access to our Services at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Services ceases immediately. Sections on intellectual property, limitation of liability, indemnification, and governing law survive termination.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Hillsborough County, Florida.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Continued use of our Services after changes constitutes acceptance of the updated Terms.
